164 means the Software in its Source Code and
165 possibly its Object Code form and, where applicable, its
166 documentation, "as is" when it is
168 under the terms and conditions of the

175 means the Software modified by at least one Contribution.

282 <h2> Article <span class="numbering">2 </span> - PURPOSE</h2>
285 purpose of the Agreement is the grant

287 Licensee of a non-exclusive, transferable

289 for the Software as set forth in Article <a href="#scope"><span class="numbering">5</span></a>
290 hereinafter for the whole term of the
292 granted by the rights over said Software.

297 <h2> Article <span class="numbering">3 </span> - ACCEPTANCE</h2>
300 <p><a name="accepting"></a><span class="numbering">3.1 </span>The
301 Licensee shall be deemed as having accepted
302 the terms and conditions of this Agreement
303 upon the occurrence of the
304 first of the following events:</p>
307 loading the Software by any or all means, notably, by downloading
308 from a remote server, or by loading from a physical medium;</li>
310 the first time the Licensee exercises any of the rights granted
316 <p><span class="numbering">3.2 </span>One
317 copy of the Agreement, containing a notice relating to the
319 of the Software, to the limited warranty, and to the

331 <h2> Article <span class="numbering">4 </span> - EFFECTIVE DATE AND TERM</h2>
336 <span class="numbering">4.1 </span>EFFECTIVE DATE</h3>
339 Agreement shall become effective on the date when it is accepted by
340 the Licensee as set forth in Article <a href="#accepting"><span class="numbering">3.1</span></a>.</p>
345 <a name="term"></a><span class="numbering">4.2 </span>TERM</h3>
348 Agreement shall remain in force
349 for the entire legal term of
350 protection of the economic rights over the Software.</p>
355 <div class="article">
357 <a name="scope"></a> Article <span class="numbering">5 </span> - SCOPE OF RIGHTS GRANTED</h2>
360 Licensor hereby grants to the Licensee, who
362 following rights over the Software
363 for any or all use, and for
364 the term of the Agreement, on the basis of the terms and conditions
365 set forth hereinafter.
369 Besides, if the Licensor owns or comes to
370 own one or more patents
371 protecting all or part of the
372 functions of the Software
373 or of its components,
374 the Licensor undertakes not to enforce the rights granted by these
375 patents against successive Licensees using, exploiting or
376 modifying the Software. If these patents are
377 transferred, the Licensor
378 undertakes to have the transferees subscribe to the
379 obligations set forth in this
385 <span class="numbering">5.1 </span>RIGHT OF USE</h3>
388 Licensee is authorized to use the Software, without any limitation as to its fields
389 of application, with it being hereinafter
390 specified that this comprises:
394 or temporary reproduction of all or part of the Software by any or
395 all means and in any or all form.
398 displaying, running, or storing the Software on any or all

417 <span class="numbering">5.2 </span>ENTITLEMENT TO MAKE CONTRIBUTIONS</h3>
421 right to make Contributions includes the right to translate, adapt,
422 arrange, or make any or all modifications to the Software,
424 right to reproduce the resulting Software.</p>
426 Licensee is authorized to make any or all Contributions to
427 the Software provided that it
428 includes an explicit notice that it is the
430 of said Contribution and indicates the date of the
431 creation thereof.</p>
437 <span class="numbering">5.3 </span>RIGHT OF DISTRIBUTION
441 particular, the right of distribution includes the
442 right to publish, transmit and communicate
443 the Software to the general public
444 on any or all medium, and by any or all means, and the right to
445 market, either in consideration of a fee, or free of charge,
446 one or more copies of the Software
450 Licensee is further authorized to
451 distribute copies of the
452 modified or unmodified Software to third parties according to the
453 terms and conditions set forth hereinafter.</p>
455 <div class="subclause">
457 <span class="numbering">5.3.1 </span>DISTRIBUTION OF SOFTWARE
458 WITHOUT MODIFICATION</h4>
461 Licensee is authorized to distribute
462 true copies of the Software
463 in Source Code or Object Code form, provided that
465 complies with all the provisions of the
466 Agreement and is accompanied by:</p>

471 notice relating to the limitation of both the Licensor's
472 warranty and liability as set forth in Articles 8 and 9,
476 that, in the event that only the Object Code
477 of the Software is redistributed, the Licensee allows
478 future Licensees unhindered access to the
480 full Source Code of the Software
482 indicating how to access it,
483 it being understood that the additional cost of acquiring the Source
484 Code shall not exceed the cost of transferring the data.
489 <div class="subclause">
491 <span class="numbering">5.3.2 </span>DISTRIBUTION OF MODIFIED SOFTWARE</h4>
494 the Licensee makes a Contribution to the Software, the terms and
495 conditions for the distribution
496 of the Modified Software become subject to all the provisions
500 Licensee is authorized to distribute
501 the Modified Software, in
502 Source Code or Object Code form, provided that said
504 complies with all the provisions of the Agreement and is accompanied

512 notice relating to the limitation of both the Licensor's
513 warranty and liability as set forth in Articles 8 and 9,</p>

518 Object Code of the Modified Software

532 <span class="numbering">5.3.3 </span>DISTRIBUTION OF
533 EXTERNAL MODULES</h4>

549 <a name="compatibility"></a><span class="numbering">5.3.4 </span>COMPATIBILITY WITH THE GNU GPL
555 <p> The Licensee can include a code that is subject to the provisions
556 of one of the versions of the GNU GPL in the Modified or unmodified
557 Software, and distribute that entire code under the terms of the
558 same version of the GNU GPL.</p>
560 <p> The Licensee can include the Modified or unmodified Software in a
561 code that is subject to the provisions of one of the versions of
562 the GNU GPL, and distribute that entire code under the terms of
563 the same version of the GNU GPL.

573 <h2> Article <span class="numbering">6 </span> - INTELLECTUAL PROPERTY
578 <span class="numbering">6.1 </span>OVER THE INITIAL SOFTWARE</h3>
581 Holder owns the economic rights over the Initial Software. Any or
582 all use of the Initial Software is subject to compliance with the
583 terms and conditions under which the Holder has elected to
584 distribute its work and no one shall be entitled to modify the terms
585 and conditions for the distribution of said Initial Software.</p>
587 Holder undertakes that the Initial
589 will remain ruled at least by the current license,
591 forth in article <a href="#term"><span class="numbering">4.2</span></a>.</p>
597 <span class="numbering">6.2 </span>OVER THE CONTRIBUTIONS</h3>
602 A Licensee who develops a Contribution is the owner
603 of the intellectual property rights over this Contribution
611 <span class="numbering">6.3 </span>OVER THE
612 EXTERNAL MODULES</h3>
618 who develops an External Module
619 is the owner of the intellectual property rights over
620 this External Module as defined by applicable law and is
622 free to choose the type of agreement that shall govern its
629 <span class="numbering">6.4 </span>JOINT PROVISIONS</h3>

633 Licensee expressly undertakes:</p>
636 to remove, or modify, in any manner, the
639 attached to the Software;</p></li>
642 reproduce said notices, in an identical manner, in the copies of
643 the Software modified or not.</p>
648 <div class="subclause">
650 Licensee undertakes not to directly or indirectly infringe
651 the intellectual property rights of the Holder and/or Contributors
653 and to take, where applicable, vis-à-vis its staff, any
655 all measures required to ensure respect of
657 property rights of the Holder and/or Contributors.</p>
663 <div class="article">
664 <h2> Article <span class="numbering">7 </span> - RELATED SERVICES</h2>
668 <p><span class="numbering">7.1 </span>Under
669 no circumstances shall the Agreement oblige the Licensor to provide
670 technical assistance or maintenance services for the Software.</p>
673 the Licensor is entitled to offer this type of
675 and conditions of such technical assistance, and/or such
676 maintenance, shall be set forth in a separate
678 the Licensor offering said maintenance and/or technical assistance
679 services shall incur liability therefor.</p>
685 <p><span class="numbering">7.2 </span>Similarly,
686 any Licensor is entitled to offer to its
689 a warranty, that shall only
690 be binding upon itself, for the redistribution of the Software
691 and/or the Modified Software, under terms and conditions
693 it is free to decide. Said warranty, and the financial
694 terms and conditions of its application, shall be subject

701 <div class="article">
702 <h2> Article <span class="numbering">8 </span> - LIABILITY</h2>
705 <p><span class="numbering">8.1 </span>Subject
706 to the provisions of Article 8.2,
708 the Licensee shall be entitled to claim compensation for
710 loss it may have suffered from the Software
711 as a result of a fault on the part of the relevant
713 providing evidence thereof.
718 <p><span class="numbering">8.2 </span>The
719 Licensor's liability is limited to the commitments made under
720 this Agreement and shall not be incurred as a result of in
721 particular: (i) loss due the Licensee's total or partial
722 failure to fulfill its obligations, (ii) direct or consequential
723 loss that is suffered by the Licensee due to the
725 use or performance of the Software,
732 the Parties expressly
733 agree that any or all pecuniary or business loss (i.e. loss of data,
734 loss of profits, operating loss, loss of customers or orders,
735 opportunity cost, any disturbance to business activities) or any or
736 all legal proceedings instituted against the Licensee by a third
737 party, shall constitute consequential loss and shall not provide
738 entitlement to any or all compensation from the Licensor.
743 <div class="article">
744 <h2> Article <span class="numbering">9 </span> - WARRANTY</h2>
747 <p><span class="numbering">9.1 </span>The
748 Licensee acknowledges that the
749 scientific and technical
750 state-of-the-art when the Software
752 distributed did not enable all possible uses to be tested and
753 verified, nor for the presence of
755 possible defects to be detected.
756 In this respect, the Licensee's attention has been drawn to
757 the risks associated with loading, using, modifying and/or
758 developing and reproducing the Software
759 which are reserved for
760 experienced users.</p>
762 Licensee shall be responsible for verifying, by any or all means,
763 the product's suitability for its requirements, its good working order, and for
764 ensuring that it shall not cause damage
771 <p><a name="good-faith"></a><span class="numbering">9.2 </span>The Licensor
772 hereby represents, in good faith, that it is entitled to grant all
773 the rights over the Software (including in
774 particular the rights set
775 forth in Article <a href="#scope"><span class="numbering">5</span></a>).</p>
779 <p><span class="numbering">9.3 </span>
781 Licensee acknowledges that the Software is supplied "as is"
782 by the Licensor without any other express or tacit
784 other than that provided for in Article
785 <a href="#good-faith"><span class="numbering">9.2</span></a> and, in particular,
786 without any warranty as to its
788 commercial value, its secured, safe,
789 innovative or relevant nature.
792 the Licensor does not warrant that the Software is free from any
794 operate without interruption,
796 compatible with the Licensee's own equipment and
797 software configuration,
798 nor that it will meet the
799 Licensee's requirements.
804 <p><span class="numbering">9.4 </span>The
805 Licensor does not either expressly or tacitly warrant that the
806 Software does not infringe any third party
809 relating to a patent, software or any
810 other property right.
811 Therefore, the Licensor disclaims any and all liability towards the
812 Licensee arising out of any or all proceedings for
813 infringement that may be
814 instituted in respect of the use, modification and redistribution of
815 the Software. Nevertheless, should such proceedings be instituted
816 against the Licensee, the Licensor shall provide it with technical
817 and legal assistance for its defense. Such technical and legal
818 assistance shall be decided on a case-by-case basis
820 relevant Licensor and the Licensee pursuant to a memorandum of
821 understanding. The Licensor disclaims any and
823 regards the Licensee's use of the
825 name of the Software. No
826 warranty is given as regards
827 the existence of prior rights
828 over the name of the Software or as regards
829 the existence of a trademark.</p>
833 <div class="article">
834 <h2> Article <span class="numbering">10 </span> - TERMINATION</h2>
837 <p><span class="numbering">10.1 </span>
838 In the event of a breach by the
839 Licensee of its obligations hereunder, the Licensor may
840 automatically terminate this Agreement thirty (30)
842 notice has been sent to the Licensee and has remained ineffective.</p>
846 <p><span class="numbering">10.2 </span>A
847 Licensee whose Agreement is terminated shall no longer be authorized
848 to use, modify or distribute the Software. However, any
850 licenses that it may have granted prior to termination of the
851 Agreement shall remain valid subject to their having been granted in
852 compliance with the terms and conditions hereof.
857 <div class="article">
858 <h2> Article <span class="numbering">11 </span> - MISCELLANEOUS </h2>
862 <span class="numbering">11.1 </span>EXCUSABLE EVENTS</h3>
865 Party shall be liable for any or all delay, or failure to perform
866 the Agreement, that may be attributable to an event of force
867 majeure, an act of God or an outside cause, such as
869 defective functioning or interruptions
870 of the electricity or
871 telecommunications networks, network
872 paralysis following a
873 virus attack, intervention by
874 government authorities,
875 natural disasters, water damage,
876 earthquakes, fire, explosions,
877 strikes and labor unrest, war, etc.</p>
882 <p><span class="numbering">11.2 </span>Any Failure by either
883 Party, on one or more
884 occasions, to invoke one or more of the
885 provisions hereof, shall under no
886 circumstances be interpreted as being a waiver by the interested
887 Party of its right to invoke said
888 provision(s) subsequently.</p>
892 <p><span class="numbering">11.3 </span> The
893 Agreement cancels and replaces
894 any or all previous agreements, whether written or oral,
896 Parties and having the same purpose, and constitutes the entirety of
897 the agreement between said Parties concerning said purpose. No
898 supplement or modification to the terms and conditions hereof shall
899 be effective as between the Parties
900 unless it is made in writing and
901 signed by their duly authorized representatives.
906 <p><span class="numbering">11.4 </span>In
907 the event that one or more
908 of the provisions hereof were to conflict with a current or future
909 applicable act or legislative text, said act or legislative text
910 shall prevail, and the Parties
911 shall make the necessary
912 amendments so as to comply with
913 said act or legislative
914 text. All other provisions shall remain
915 effective. Similarly,
916 invalidity of a provision of the
918 for any reason whatsoever, shall not cause the Agreement as a whole
925 <span class="numbering">11.5 </span>LANGUAGE</h3>
928 Agreement is drafted in both French and English
929 and both versions are
935 <div class="article">
936 <h2> Article <span class="numbering">12 </span> - NEW VERSIONS OF THE AGREEMENT</h2>
939 <p><span class="numbering">12.1 </span>Any
941 is authorized to duplicate and distribute copies of
946 <p><span class="numbering">12.2 </span>So
947 as to ensure coherence, the wording of this Agreement is protected
948 and may only be modified by the authors of the License,
950 the right to periodically publish updates or new versions of the
951 Agreement, each with a separate number. These subsequent versions
953 address new issues encountered by Free Software.
958 <p><span class="numbering">12.3 </span>Any
960 Software distributed under a given version of the Agreement
961 may only be subsequently distributed under the same version of the
962 Agreement or a subsequent version, subject to the provisions of
963 Article <a href="#compatibility"><span class="numbering">5.3.4</span></a>.

968 <h2> Article <span class="numbering">13 </span> - GOVERNING LAW AND JURISDICTION</h2>
971 <p><span class="numbering">13.1 </span>
972 The Agreement is governed by French law. The
973 Parties agree to endeavor to seek an amicable
974 solution to any disagreements or disputes
975 that may arise during the performance of
981 <p><span class="numbering">13.2 </span>Failing an amicable solution
982 within two (2) months as from their
983 occurrence, and unless emergency proceedings are necessary, the
985 or disputes shall be referred to the Paris Courts having
986 jurisdiction, by the more diligent
